What We Provide as Fund Managers:

Fund Management/Investor Services:

Tracking and distribution of PPM agreements and requirements
Document investor OFAC searches
Review subscription documents for completeness and AML
Build and maintain investor contacts and capital accounts, including transfers, exchanges, and changes
Maintain investor portal for fund communications
Prepare and distribute capital calls, distribution notices, and investor statements
Prepare and maintain waterfall/preferred return calculations

Ongoing Investor Communication and Management:

Calculation, preparation and distribution of capital calls and distribution notices
Assist in preparation and distribution of quarterly or annual investor reports and portal report maintenance
Coordination and posting of communications to the investor portal, if applicable

Accounting/Treasury Services:

Review fund books, ledgers and records that are to be provided periodically by the Fund Manager
Record the following transactions: Contributions/Distributions from/to investors, investment purchases and sales, receipt of distributions and other income from investments, fair value adjustments as provided by the Fund manager, operating expenses and management fees
Review bank account reconciliations
Review and approve monthly/quarterly reconciliations and journal entries prepared by staff
Calculate asset management fees
Prepare quarterly financial statements
Preparation of annual full disclosure financial statements
Perform all annual calculations required to complete and file IRS Form 8998
Document accounting processes and procedures
Gather information necessary to prepare the entity’s annual tax return

Opportunity Zone Tax Compliance Services:

Preparation of Form 8996, Qualified Opportunity Fund, to establish certification as a QOF
Biannual testing at the QOF level to ensure compliance with all opportunity zone regulations
Biannual testing of underlying qualified opportunity zone business investments to ensure compliance with all opportunity zone regulations
Any current and future Treasury reporting requirements – to be determined – Upon release of future Treasury reporting guidelines
Tracking of OZ funds for compliance and timing purposes including distribution analysis to remain in compliance with program
Asset testing to determine both the QOF and QOZB are in compliance with QOZ Asset Limits

Ongoing Reporting:

Preparation of quarterly Fund financial statements
Perform all annual calculations required to complete and file IRS Form 8998
Preparation of year-end financial statements
Preparation of quarterly management updates (based on jointly developed pro-forma) utilizing management and third-party information and distribution to investors
Preparation of waterfall and preferred return calculations
Preparation and distribution of quarterly or annual investor capital account statements
Gather information necessary to prepare the entity’s annual tax return
Act as the liaison between management and the Fund’s auditor
Provide fund reporting metrics as requested
